As per a SEBI mandate, physical settlement is compulsory if a trader holds a position in any Stock F&O contracts on expiry date. What is Physical Settlement? In a Stock F&O contract, when there is an open position that has not been squared off by its expiry date, Physical Settlement takes place. This implies they have to physically give/take delivery of Stocks to settle the open transactions instead of settling them with cash.. Examples of physical settlement: Futures Long positions of 1 lot of Reliance, 250 quantity at Rs. 2000 i.e. Rs. 5 lakh contract value F&O = 20% charges i.e. Rs. 1,00,000. This means, you are required to give Rs. 1 lakh, but if you decide to physically settle then you need to have a complete contract value of Rs. 5 lakhs. Short positions of 1 lot Reliance 250 quantity at Rs. 2000 i.e. Rs. 5 lakh contract value F&O = 20% charges i.e. Rs. 1,00,000. This means, you are required to give Rs. 1 lakh, but if you decide to physically settle then you need to have the holdings of 250 quantity of Reliance and Rs. 1 lakh margin money till expiry date. Options Long - 1 lot of Reliance, 250 quantity for strike price of Rs. 2000 Call (CE) Options. If the underlying price of Reliance is greater than the strike price of Rs. 2000, then the contract is said to be ITM (In-The-Money). If you wish to go for physical settlement, you need to maintain a free ledger balance of Rs 5 Lakh in your account, else physical settlement would not be done. Long - 1 lot of Reliance, 250 quantity for Strike price of Rs. 2000 Put (PE) Options. If the underlying price of Reliance is lesser than strike price of Rs. 2000, then the contract is said to be ITM (In-The-Money). If you wish to go for physical settlement, you need to provide the Stocks (shares) equal to the lot quantity positioned to be available in Demat account, else physical settlement would not be done. Short ITM PE options, treatment would be similar to Long ITM CE options. Free ledger balance equal to the contract value to be maintained.
Short ITM CE options, treatment would be similar to Long ITM PE options. Holdings shares of lot quantity positioned to be available in Demat account.

What is the process for Physical Settlement on Upstox? To opt for physical settlement on Upstox, you need to provide your consent first and here are the details for the same:

To provide your consent for physical settlement of open Stock F&O contract(s) with September 2022 expiry visit the ‘Profile’ section on your Upstox account on our App / Web and give your consent from here before EOD on Tuesday, 27th September 2022.
Based on your consent, Upstox will evaluate whether your position qualifies for physical settlements and if there is sufficient ledger balances / holdings (whichever applicable) is available.
Kindly, plan your trades keeping in mind that you will not be able to trade in fresh positions in the current September 2022 expiry F&O contracts from Wednesday, 28th September 2022 onwards.
Correspondingly, position conversion(s) on carry forward of any stock futures positions shall also not be permitted.

What other impact could this have on your positions? Your position will automatically be squared-off on expiry day at 12:00 PM in case:

You have not provided your consent for physical settlement
You provided your consent for physical settlement and do not have Ledger Value (equal to contract value) / holdings available for the physical settlement of your positions.
In a case of funds / holdings not being available for all the open positions, we will execute square offs for all the positions. Thus no partial funds / holdings evaluation for the expiring positions will be considered by our team.

What else to keep in mind? Delivery margins would be applicable as per Exchange norms on all the existing long ITM (In The Money) stock option positions in a staggered manner as explained below:

10% of delivery margins computed on expiry -4 days EOD (Friday)
25% of delivery margins computed on expiry -3 days EOD (Monday)
45% of delivery margins computed on expiry -2 days EOD (Tuesday)*
70% of delivery margins computed on expiry -1 day EOD (Wednesday)*

To avoid margin shortages, Upstox would be blocking such (above mentioned) delivery margins from Beginning of the Day (BOD) instead of End of the Day (EOD).
If the positions are not squared off for any reason (e.g: non-liquidity), then the contract would have to be settled physically and you would be liable to pay the entire amount of the settlement.

* If you have opted for physical settlement, you would be required to fulfil the entire funds (contract value) / holdings requirement by EOD on Tuesday, 27th September 2022. In case of spread contracts, you are advised to provide margins for both the legs since the risk of one leg square off by you anytime would result in physical settlement of the other leg. Brokerage in Physical settlement: Since there is a substantial increase in effort and risk to settle these F&O positions resulting in physical delivery, if F&O positions result in physical delivery brokerage will be 0.25% of the physical settled value. NSE will be revising the lot size of 66 stock F&O contracts from May 2022. Why is this revision happening? SEBI mandates that the contract value of all F&O contracts remain between ₹5 - ₹10 Lakhs. This implies they have to physically give/take delivery of Stocks to settle the open transactions instead of settling them with cash.

Examples of Physical Settlement:

Futures Long positions of 1 lot of Reliance, 250 quantity at Rs. 2000 i.e. Rs. 5 lakh contract value F&O = 20% charges i.e. Rs. 1,00,000. This means, you are required to give Rs. 1 lakh, but if you decide to physically settle then you need to have a complete contract value of Rs. 5 lakhs.Short positions of 1 lot Reliance 250 quantity at Rs. 2000 i.e. Rs. 5 lakh contract value F&O = 20% charges i.e. Rs. 1,00,000. All open position(s) in the F&O segment with a 30-09-2021 expiry date (except those who have opted for physical settlement) should be squared off before 12:00 PM on 30th September 2021 to avoid any further action by Upstox. What does this mean? In an F&O contract, when there is an open position that has not been squared off by its expiry date, physical settlement takes place. This implies the physical delivery of stocks to settle the open transactions instead of settling them with cash. Here’s an example – A trader bought futures for XYZ (lot size – 5000) at Rs. 100, so the contract value is Rs. 5,00,000. On expiry day, if the settlement price for XYZ is Rs. 102 and the contract has been settled on a cash basis, the trader will get a profit of Rs. 10,000. If the contract has not been settled, physical settlement takes place, which means the trader will have to pay an amount of Rs. 5,10,000 (as per settlement price of Rs.102, lot size 5000) and 5000 shares will be delivered to his Demat account as per the T+2 days settlement cycle. As per our latest announcement mentioned here, we require consent in order to physically settle your transactions. However, for all users who have not submitted consent and who do not square-off their positions before 12:00 PM on 30th September 2021 , then here’s what will happen: A) Auto-square off by Upstox: If users cannot square off your positions before the cut-off time (i.e., 12:00 PM on 30th September 2021), we will square them off at the prevailing market rates. Such square-off orders will be placed by our team as “Market Orders” and since order matching happens at the Exchange level, we shall not be liable for the rate at which they are executed. B) Physical settlement by the Exchange: If we cannot square off your positions due to market operational reasons, positions will be physically settled by the Exchange, and you will have to bear the costs (penalties & losses) arising from it. This means -

For a long open position (Long Futures, Long Call Options, Short Put Options) Your long open position will get converted into a ‘Buy Equity Delivery,’ and you will be liable to pay the entire settlement amount as the holder of the position.

What does this mean? In an F&O contract, when there is an open position that has not been squared off by its expiry date, physical settlement takes place. This implies the physical delivery of stocks to settle the open transactions instead of settling them with cash. Here’s an example – A trader bought futures for XYZ (lot size – 5000) at Rs. 100, so the contract value is Rs. 5,00,000. On expiry day, if the settlement price for XYZ is Rs. 102 and the contract has been settled on a cash basis, the trader will get a profit of Rs. 10,000. Based on your consent, Upstox will evaluate whether your position qualifies for physical settlements and if there is sufficient ledger balances / holdings (whichever applicable) is available.
Kindly, plan your trades keeping in mind that you will not be able to trade in fresh positions in the current August-2021 expiry F&O contracts from Wednesday, 25th August 2021 onwards.
Correspondingly, position conversion(s) on carry forward of any stock futures positions shall also not be permitted.

All open position(s) in the F&O segment with a 24-06-2021 expiry date (except those who have opted for physical settlement) should be squared off before 12:00 PM on 24th June 2021 to avoid any further action by Upstox. What does this mean? In an F&O contract, when there is an open position that has not been squared off by its expiry date, physical settlement takes place. This implies the physical delivery of stocks to settle the open transactions instead of settling them with cash. Here’s an example – A trader bought futures for XYZ (lot size – 5000) at Rs. 100, so the contract value is Rs. 5,00,000. On expiry day, if the settlement price for XYZ is Rs. 102 and the contract has been settled on a cash basis, the trader will get a profit of Rs. 10,000. If the contract has not been settled, physical settlement takes place, which means the trader will have to pay an amount of Rs. 5,10,000 (as per settlement price of Rs.102, lot size 5000) and 5000 shares will be delivered to his Demat account as per the T+2 days settlement cycle. As per our latest announcement mentioned here, we require consent in order to physically settle your transactions. However, for all users who have not submitted consent and who do not square-off their positions before 12:00 PM on 24th June 2021, then here’s what will happen: A) Auto-square off by Upstox: If users cannot square off your positions before the cut-off time (i.e., 12 PM on 24th June 2021), we will square them off at the prevailing market rates. Such square-off orders will be placed by our team as “Market Orders” and since order matching happens at the Exchange level, we shall not be liable for the rate at which they are executed. B) Physical settlement by the Exchange: If we cannot square off your positions due to market operational reasons, positions will be physically settled by the Exchange, and you will have to bear the costs (penalties & losses) arising from it. This means -

For a long open position (Long Futures, Long Call Options, Short Put Options) Your long open position will get converted into a ‘Buy Equity Delivery,’ and you will be liable to pay the entire settlement amount as the holder of the position.
For a short open position (Short Futures, Short Call Options, Long Put Options) Your short position will get converted into a ‘Sell Equity Delivery,’ and you as a holder of the position will be liable to deliver the shares; else, an auction process will be applicable.

You can only apply for this buy-back if you hold shares of SIS Ltd. in your Demat account as on 9th April 2021.
You shouldn’t sell these shares on or before 27th May 2021 if you’re interested to take part in the buy-back offer.
After applying and offering your shares up for a buy-back, you cannot sell them in the market and modify or cancel your original bid.
You can only sell these shares in the market If the company cancels the buy-back and you receive your shares back from the company.
You will receive the buy-back amount for the shares from SIS Ltd. / Registrar & Transfer Agent (RTA) directly into your bank account (this will be updated in the records of the depository as well).

The amount will have to be paid between 17th May to 31st May 2021 (both days included). In case there is a delay in payment or the holders are unable to pay, penalties will be applicable. How to make the payment of Rs. 314.25 per partly paid-up equity share? You can make the payment online or offline. Here are the available online payment methods: 1. Through NetBanking or UPI from the R-WAP portal: https://rights.kfintech.com/callmoney. 2. Through ASBA (Applications Supported by Blocked Amount) online if your bank supports it just like you do for an IPO. What happens in case of a delayed or non-payment of these partly paid-up equity shares? The following consequences will be applicable: 1. An interest of 8.00 % p.a. will be applicable for the delay in payment beyond 31st May 2021 till the actual date of payment. 2. What does this mean? In an F&O contract, when there is an open position that has not been squared off by its expiry date, physical settlement takes place. This implies the physical delivery of stocks to settle the open transactions instead of settling them with cash. Here’s an example – A trader bought futures for XYZ (lot size – 5000) at Rs. 100, so the contract value is Rs. 5,00,000. On expiry day, if the settlement price for XYZ is Rs. 102 and the contract has been settled on a cash basis, the trader will get a profit of Rs. 10,000. If the contract has not been settled, physical settlement takes place, which means the trader will have to pay an amount of Rs. 5,10,000 (as per settlement price of Rs.102, lot size 5000) and 5000 shares will be delivered to his Demat account as per the T+2 days settlement cycle. As per our latest announcement mentioned here, we require consent in order to physically settle your transactions. However, for all users who have not submitted consent and who do not square-off their positions before 12:00 PM on 29th April 2021, then here’s what will happen: A) Auto-square off by Upstox: If users cannot square off your positions before the cut-off time (i.e., 12 PM on 29th April 2021), we will square them off at the prevailing market rates. Such square-off orders will be placed by our team as “Market Orders” and since order matching happens at the Exchange level, we shall not be liable for the rate at which they are executed. As per a SEBI mandate, physical settlement is compulsory if a trader holds a position in any of the stock F&O contracts on an expiry date. What is physical settlement? In an F&O contract, when there is an open position that has not been squared off by its expiry date, physical settlement takes place. This implies they have to physically give/take delivery of stocks to settle the open transactions instead of settling them with cash. Examples of physical settlement: Future Long positions of 1 lot Reliance 250 qty at 2000 Rs. 5 lakh contract value F&O = 20% charges 100,000 (You are required to give Rs. 1 lakh), but if you decide to physically settle then you need to have a complete contract value of Rs. 5 lakhs. Short positions of 1 lot Reliance 250 qty at 2000 Rs. 5 lakh contract value F&O = 20% charges 1,00,000 (You are required to give Rs. 1 lakh, but if you decide to physically settle then you need to have the holdings of 250 Qty of Reliance and Rs. 1 Lakh Margin money till expiry date. Option Long - 1 lot of 250 qty for strike price of Rs. 2000 Call (CE) Options. If the underlying price of Reliance is greater than strike price of 2000, then the contract is said to be ITM (In-The-Money). If you wish to go for physical settlement, you need to maintain a free ledger balance of Rs 5 Lakh in your account, else physical settlement would not be done. Long - 1 lot of 250 qty for Strike price of 2000 Put (PE) Options. If the underlying price of Reliance is lesser than strike price of 2000, then the contract is said to be ITM (In-The-Money). What are the details of the update on physical settlement? To better plan your trading experience with Upstox, take note of some important updates on physical settlements of contracts with the expiry of February 2021.

You can provide your consent for physical settlement of your Feb-2021 expiry open stock derivatives contract(s) before the end of the day on Tuesday 23rd February 2021 by visiting the ‘Profile’ section on your Upstox account.
Based on your consent, Upstox will evaluate whether your position qualifies for physical settlements and if there is sufficient ledger balances / holdings (whichever applicable) is available.
Kindly plan your trades keeping in mind that you will not be able to trade in fresh positions in current (25-Feb-2021) expiry F&O from Wednesday onwards.
Correspondingly, position conversion(s) on carry forward of any stock futures positions shall also not be permitted.

What will be the impact of this update on your positions? Your position will automatically be squared off in case:

You have not provided your consent for physical settlement
You provided your consent for physical settlement and do not have Ledger Value (equal to contract value) / holdings available for the physical settlement of your positions.
In a case of funds / holdings not being available for all the positions, we will execute square offs for all the positions. Thus no partial funds / holdings evaluation for the expiring positions will be considered by our team.

What to keep in mind? Delivery margins would be applicable as per exchange norms on all the existing long ITM (In The Money) stock option position in a staggered manner as explained below:

10% of delivery margins computed on expiry -4 days EOD (Friday)
25% of delivery margins computed on expiry -3 days EOD (Monday)
45% of delivery margins computed on expiry -2 days EOD (Tuesday)*
70% of delivery margins computed on expiry -1 day EOD (Wednesday)*

1. To avoid margin shortages, Upstox would be blocking such (above mentioned) delivery margins from Beginning of the Day (BOD) instead of End of the Day (EOD). 2. If the positions are not squared off for any reason (e.g: non-liquidity), then the contract would have to be settled physically and you would be liable to pay the entire amount of the settlement. * If you have opted for physical settlement, you would be required to fulfil the entire funds (contract value) / holdings requirement by Tuesday EOD. In case of spread contracts, you are advised to provide margins for both the legs since the risk of one leg square off by you anytime would result in physical settlement of the other leg. Brokerage in Physical settlement: Since there is a substantial increase in effort and risk to settle these F&O positions resulting in physical delivery, if F&O positions result in physical delivery brokerage will be 0.25% of the physical settled value. Let me start by saying that we’re truly sorry. The Upstox vision is to make trading easy & accessible to all, and somewhere along our journey, we could not deliver our promise. What some of you faced yesterday has been one of our biggest challenges. While we as a brand take complete responsibility for the errors that persisted, kindly allow me to explain why this happened in the first place. On 1st February 2021, we were facing hardware issues at our end, and one of our primary order management servers (an exchange approved OMS vendor) failed at around 1:20 PM, and our back up server took longer than expected to restore. 80% of our systems are on the cloud; in fact, Amazon has even written a case study on us as a fintech player at the forefront of innovation in cloud. For the part of our system that is still on physical non-cloud infrastructure, we have the latest next-generation servers and invest heavily behind our hardware and tech stack, but sometimes even the best can fail. This was an extremely rare situation, and our team has been continuously at work to ensure that something of this magnitude does not occur ever again. We sincerely apologize for the truly unfortunate incident and are working hard at ensuring an even lower dependence on physical (non-cloud) infrastructure. In the immediate term, we have fixed the faulty hardware and added multiple layers of backup. To ensure the systems were fully functional today and customers do not suffer any further, as a precautionary measure with an abundance of caution, we blocked fresh intraday trading at 12 PM requesting users to square off their positions by 2 PM. There were no order placement issues today. We opened up MCX intraday after 3:30 PM. We understand some of you have faced losses during this turbulent period, and for what it’s worth we are extremely apologetic about this. We will reach out to each of you over the next few days. Let me end by saying, we’re not perfect. We are constantly working. We are working day in and day out. We are working round the clock only to ensure we can provide a seamless trading experience to you. I would like to personally thank those of you who stuck by us through all these challenges. Shoppers Stop will issue Right Entitlements (REs) to anyone who holds its shares as on record date November 20, 2020. These REs will be temporarily traded on the exchanges and will then be deactivated. You can either use the REs to apply for the rights shares or you can sell them in the market (You will not be able to transact the REs intraday as they are settled on a trade-to-trade basis). Once you either receive the REs from the company or purchase it from the market, you can apply for the rights shares.

For the above corporate action, keep these dates in mind: Record date - 20th November 2020, the date you needed to have shares in your demat to receive RE shares. Subscription close date - 11th December 2020, the date by which you need to subscribe after which the RE shares cease to exist. Last trading day of RE shares - 7th December 2020, if you do not wish to subscribe you can sell the discounted RE shares online and you may earn some profits.
