The company, in a regulatory filing, had said that it would incorporate a wholly owned subsidiary in India to carry on the business of ready-to-drink (RTD) beverages, alcoholic beverages and allied products. This is, however, subject to receipt of the applicable requisite approvals.

It will also set up a new subsidiary, “KIVA Spirits and Company”, to enter the RTD alcoholic beverages business. Varun Beverages will be the holding company for the said subsidiary.

Varun Beverages appointed Prathmesh Mishra as CEO & Managing Director for the proposed wholly owned subsidiary, the company further added.

With over 30 years of experience across consumer businesses, Mishra most recently served as Managing Director for Korea and Japan at Diageo. He was responsible for driving business growth and strategic leadership across two premium, complex markets in Asia.

The firm will also incorporate a joint venture company in Tunisia to carry on the business of production and distribution of beverages, including carbonated soft drinks, juices, water and dairy.

PepsiCo's leading bottler will subscribe to 100% of the paid-up equity share capital of the proposed subsidiary through cash consideration. The subsidiary will have a proposed authorised share capital of ₹10 crore and paid-up equity share capital of ₹9 crore, comprising equity shares with a face value of ₹10 each, the regulatory filing said.

Here’s what analysts said on the development

Analysts from JP Morgan said the initiatives could diversify Varun Beverages’ portfolio and create medium-term growth avenues.

They added that investors are likely to seek greater clarity on the company’s alcobev strategy, including its manufacturing and distribution approach, potential partnerships or M&A, geographic priorities, capex requirements and target segments.

Additionally, CLSA analysts said the move marks a strategic diversification for Varun Beverages beyond its core beverage portfolio and significantly expands its addressable market opportunity.

They also highlighted that India’s alcobev industry is estimated at $50.8 billion, with premiumization trends supporting long-term growth. The analysts said Varun Beverages aims to build a global alcobev business spanning Scotch whisky and local partnerships to establish a presence in the domestic market.

Morgan Stanley analysts said that the move reinforces management’s October 2025 commentary on the RTD expansion opportunity.
