JB Chemicals gets NCLT nod for merger with Torrent Pharma; everything investors need to know

JB Chemicals & Pharmaceuticals and Torrent Pharma shares will be in the spotlight as the companies on Monday, July 6, said they have received a nod from NCLT for merger.

In a regulatory filing, JB Chemicals said the merger with Torrent Pharmaceuticals Limited has been approved by the National Company Law Tribunal (NCLT) through an order dated July 6, 2026, in accordance with the provisions of the Companies Act, 2013.

“The Scheme shall become effective upon filing of the certified copy of the Order with the Registrar of Companies. The Company will intimate the Stock Exchange of the effective date in due course, upon the Scheme becoming effective,” JB Chemicals said in the filing.

In October 2025, the Competition Commission of India (CCI) had approved Torrent Pharma’s proposed acquisition of JB Chemicals & Pharmaceuticals Ltd.

After the completion of the deal, Torrent Pharmaceuticals will become India's second most valued pharma company.

Torrent Pharmaceuticals, the flagship company of the Torrent Group, is engaged in the manufacturing and sale of pharmaceutical formulations across multiple therapeutic segments.

JB Chemicals manufactures and markets a wide range of formulations and active pharmaceutical ingredients (APIs) and also provides contract development and manufacturing (CDMO) services.

In June 2025, Torrent had said it would acquire a 46.39% stake from promoters Tau Investment Holdings Pte Ltd, an affiliate of global investment firm KKR, for about ₹11,917 crore. It would also buy another 2.8% from certain employees of JB Chemicals for around ₹719 crore.

Following this, the company planned to make an open offer for an additional 26% stake in accordance with Sebi’s listing norms, amounting to ₹6,842.8 crore. After completion of the transactions, JB Chemicals will be merged with Torrent Pharmaceuticals.

In 2020, KKR acquired a 65% stake in JB Chemicals & Pharmaceuticals. Earlier in March 2025, the private equity firm offloaded a 5.8% stake for ₹1,460 crore through open market transactions.

On Monday, JB Chemicals share price closed at ₹2,390 apiece on the National Stock Exchange, rising 1.07%. Shares of Torrent Pharma settled 1.14% higher at ₹4,822.70 apiece.
