ICICI Prudential Mutual Fund has informed that pursuant to Offer for Sale undertaken by Prudential Corporation Holdings, as part of the Initial Public Offering (‘IPO’) of the AMC, the shareholding pattern of the AMC stands revised as follows with effect from December 19, 2025.

ICICI Prudential Asset Management Company (AMC) has issued a notice-cum-addendum to the Statement of Additional Information (SAI) of ICICI Prudential Mutual Fund, announcing a change in the shareholding pattern of the AMC.

ICICI Prudential Mutual Fund has informed that pursuant to Offer for Sale undertaken by Prudential Corporation Holdings, as part of the Initial Public Offering (‘IPO’) of the AMC, the shareholding pattern of the AMC stands revised as follows with effect from December 19, 2025.
The revised shareholding pattern is as follows:
  • ICICI Bank - 53.0%, Prudential Corporation Holdings - 34.6% and Other Shareholders (Public shareholders) - 12.4%.

The percentage (%) of shareholding given above also includes the % of shareholding held in the name of nominees of ICICI Bank.

It may be noted that there is no change in control of the AMC, as defined under the SEBI (Mutual Funds) Regulations, 1996, pursuant to the aforesaid change in shareholding. All necessary or incidental changes in this regard shall be carried out in the SAI of the Fund.

"All the other provisions of the SAI, except as specifically modified herein above remains unchanged. This Notice-cum-Addendum forms an integral part of the SAI, as amended from time to time," the AMC said.

ICICI Prudential Mutual Fund files draft papers with SEBI for new Specialised Investment Funds

ICICI Prudential Mutual Fund has filed draft offer documents with SEBI to enter the newly introduced Specialised Investment Fund (SIF) space through its iSIF platform, targeting affluent investors with a minimum investment requirement of ₹10 lakh. The fund house has proposed two strategies: the open-ended iSIF Equity Ex-Top100 Long-Short Fund, benchmarked against the Nifty 500 TRI, and the iSIF Hybrid Long-Short Fund, an interval scheme benchmarked to the CRISIL Hybrid 50+50 Moderate Index.

Both schemes will be offered at an NFO price of ₹10 per unit, carry no entry load, a 1% exit load for redemptions within 12 months, and aim to raise a minimum target amount of ₹10 crore each, subject to SEBI approval.

The initial public offering of ICICI Prudential Asset Management Company Ltd, an arm of the ICICI Bank, received 39.17 times subscription on the final day of bidding on 16 December, led by heavy demand from institutional buyers.

The ₹10,602.65-crore IPO had a price band of ₹2,061-2,165 per share.

After its market debut, ICICI Prudential AMC joined listed asset managers such as HDFC AMC, UTI AMC, Aditya Birla Sun Life AMC, Shriram AMC, and Nippon Life India Asset Management.

It also became the fifth ICICI Group entity to be listed, after ICICI Bank, ICICI Prudential Life, ICICI Lombard, and ICICI Securities.
