IRB Infrastructure Developers’ board of directors on Wednesday, August 26, announced that the company has approved an investment of up to ₹351 crore in the units of IRB InvIT Fund, a SEBI-registered Infrastructure Investment Trust, through a preferential issue, subject to the approval of the shareholders.

After the meeting on Wednesday, IRB Infra announced that the company has proposed to acquire up to 5,40,00,000 additional shares at the price of ₹65 apiece, which amounts to a total investment amount of ₹351 crore, as per the NSE filing.

The company’s shares are set to be in the focus of investors on Thursday, August 27, as the investment update was announced after market hours on Wednesday. IRB Infra shares ended 2.4% higher at ₹19.46 apiece after Wednesday’s trading session, in comparison to ₹18.81 apiece at the previous equity market close.

However, the investment is subject to the necessary regulatory and shareholders' approval.

What does the company plan to do with the funds?

With the ₹351 crore investment, the IRB InvIT Fund aims to utilise the funds towards the acquisition of two special purpose vehicle (SPV) projects from IRB Infrastructure Trust, a privately placed listed infrastructure investment trust registered with the SEBI.

The investment transaction will be carried out entirely via a cash consideration component in exchange for the preferential shares.

The exchange filing also mentioned that the units will be allocated to the company within the time frame prescribed for the preferential allotment under the applicable laws.

“The object and purpose of the Trust is to carry on the activity of an infrastructure investment trust under the InvIT Regulations, to raise resources and make investments in accordance with the InvIT Regulations,” as per the exchange filing.

Shares of IRB Infrastructure have delivered more than 139% returns to investors in the last five years, and over 44% gains in the last three years, according to NSE data. However, the company’s stock has lost 11.7% in the last one-year period.

On a year-to-date (YTD) basis, the company’s stock has lost 7.4% in 2026 and is down 0.5% in the past one-month period. The exchange data also showed that the company’s stock has risen 2.7% in the last five market sessions.

Shares of IRB Infra surged to their 52-week high of ₹23.95 apiece on May 21, 2026, while the 52-week low was at ₹18.76 apiece on Tuesday, August 25, 2026.

The company’s market capitalisation (m-cap) was at ₹23,564 crore as of the stock market close on Wednesday, August 26, 2026.
