Fairfax Financial Holdings received the government’s approval to acquire a 60.72% stake in IDBI Bank, under the government’s strategic stake sale initiative. Fairfax will acquire the 60.72% stake in IDBI Bank at ₹81 per share, paying a 23% premium to its book value. However, besides this key development, Fairfax also announced the transfer of its ownership in Go Digit General Insurance, Go Digit Life Insurance, and IIFL Capital to IDBI Bank. The move is aimed at making IDBI Bank a unified financial institution, serving all the financial needs of Indian consumers.
The exchange filing read, “Fairfax’s objective in buying the 60.72% interest in IDBI Bank is to make it, over time, a leading global Indian bank headquartered in India. To assist in achieving this objective, Fairfax proposes to contribute all of FFHL’s interests in Go Digit Life Insurance Limited and Go Digit General Insurance Limited (collectively, “Digit”) and all of FIH’s interest in IIFL Capital Services Limited (“IIFL Capital”) to IDBI Bank”.

After all the regulatory approvals, Fairfax Financial Holding will become the key owner of IDBI Bank, which intends to make IDBI Bank a global unified financial services institution. With Go Digit’s transfer, it will help strengthen its bancassurance business through the widely spread network of IDBI Bank, providing access to insurance products to Indian consumers.
After all the regulatory approvals from the Reserve Bank of India, Securities and Exchange Board of India (SEBI), and Insurance Regulatory and Development Authority of India (IRDAI), IDBI Bank will become a key promoter in Go Digit General Insurance Ltd. The transaction does not have any material impact on its financials.
No, Fairfax does not expect there to be any change in the governance, management, or operating structure of either Go Digit General Insurance or IIFL Capital. The exchange filing said, “The current leadership team at Digit, led by Kamesh Goyal, would remain in place and continue to be responsible for Digit’s strategy and execution”.
Commenting on the development, Kamlesh Goyal, founder and chairman of Go Digit General Insurance, said, “We are very excited about the prospect of combining Digit with IDBI Bank as it would significantly strengthen Digit’s distribution footprint, allowing us to continue our growth and service offerings for the benefit of all Indians.”
