The two companies have entered into a binding and exclusive term sheet to form a joint venture (JV) to invest in IREO Private Limited and other Indian group companies held by IREO Group's foreign investment funds. The proposed partnership aims to unlock growth opportunities across IREO's real estate portfolio.

IREO Group: All you need to know

IREO Group is a Gurugram-based real estate developer and investment group that has been active in India's property market since 2004. It started as a foreign private equity investor focused on the Indian real estate sector and subsequently expanded into property development.

The group has a presence across residential, commercial, retail and hospitality segments, with projects concentrated in Delhi-NCR and other markets such as Punjab and Tamil Nadu. Some of its well-known projects in Gurugram include The Grand Arch, Ireo Skyon, Ireo Uptown and Victory Valley.

Through the proposed arrangement, DLF intends to invest approximately ₹3,750 crore for a majority stake, in the JV, which will hold economic interest in the IREO India Companies.

"Under a separate binding and exclusive term sheet executed on the same date by the parties with the IREO Funds, the proposed JV intends to invest these funds to acquire a stake of at least 20% in the IREO India Companies, together with certain governance-related rights,” the press release said.

Through the proposed transaction, the JV’s aggregate economic interest (contractual and otherwise) in the IREO India Companies will be approximately 40%, with the IREO Funds holding the balance," it added.

DLF further said that with its size, scale and strategic locations, the proposed transaction presents a compelling opportunity to deliver high-quality, valuable developments across Delhi, Gurugram and other regions.

On completion, the IREO India Companies will be operated by a strong, independent management team executing an agreed business plan within a robust governance framework, under the guidance of DLF and Everstone.

"The alliance combines DLF’s proven development expertise with the strong capabilities of a global investment manager, with the aim of restoring momentum, unlocking embedded growth and building a stronger, more resilient business," it added.

Details to know

The proposed transaction is subject to customary closing conditions, including satisfactory completion of due diligence, receipt of all applicable corporate, regulatory and third-party approvals, and execution of definitive documents. Closing is expected to occur during 2027.

Why does it mean for DLF?

The proposed investment gives DLF an opportunity to gain exposure to IREO Group's real estate portfolio, including its projects and land assets across Gurugram, Delhi-NCR and other markets.

Through its partnership with Everstone Group, DLF aims to bring its real estate development expertise to these businesses, revive project execution, unlock the value of existing assets and tap future growth opportunities.
