Arvind Fashions Ltd on Monday said it will acquire Flipkart Group’s entire 31.25% stake in Arvind Youth Brands Pvt Ltd for ₹135 crore, making the company a wholly owned subsidiary.

The acquisition will be carried out through a share purchase agreement with Flipkart India Pvt Ltd, Arvind Fashions said in a regulatory filing.

Arvind Youth Brands Pvt Ltd (AYBPL) is currently engaged in the business of wholesale and retail of apparel and accessories under the brand name 'Flying Machine'.

AFL will acquire 31.25% of the total shareholding of AYBPL on a fully diluted basis, comprising of 1 equity share of ₹10 each and 58,95,852 compulsory convertible preference shares (CCPS) of ₹100 each, upon closing of the transaction, which is expected to be completed on December 29, 2025, the company said.

Post the acquisition, AYBPL will become a wholly-owned subsidiary of the company, AFL added. The company said the transaction would help consolidate ownership and sharpen focus on the brand’s growth across channels.

Over the last five years, Flying Machine has re-established itself as a strong digital-first brand, aided by its partnership with Flipkart, Arvind Fashions said in a separate press release.

The partnership with the Flipkart group helped Flying Machine become one of the top casual wear brands on digital platforms, catering to the fashion-conscious youth of India, it added. Commenting on the development, Amisha Jain, Managing Director and Chief Executive Officer of Arvind Fashions, said the company was grateful to the Flipkart Group for its role in building Flying Machine’s presence online.

“Our relationship with the Flipkart Group will continue, ensuring consumers can still shop Flying Machine on its platforms. The brand will also be available to consumers on other digital channels and portals,” she said.

Flying Machine is an Indian denim brand with a legacy of over four decades and has been retailing on digital channels for more than a decade. The brand has a strong presence across metros as well as tier-II towns.

Arvind Fashions is India’s largest casual and denim apparel player and houses brands such as U.S. Polo Assn., Arrow, Tommy Hilfiger, Calvin Klein and Flying Machine.
