PlaySimple Games files DRHP with SEBI for IPO with only OFS component

PlaySimple Games IPO: Mobile gaming company PlaySimple Games has filed a draft red herring prospectus (DRHP) with market regulator Securities and Exchange Board of India (SEBI) to raise funds via an initial public offering.

The proposed initial share sale will be solely an offer for sale of ₹3,150 crore by promoter MTGx Gaming Holding AB, according to the preliminary papers.

As there is no fresh issue component, the company will not get any proceeds from the issue. The money raised will go to the promoter selling shareholder.

"Our company expects that listing of the equity shares will enhance our visibility and brand image and provide liquidity and a public market for the equity shares in India," PlaySimple Games said in its DRHP.

Axis Capital, Morgan Stanley India and JP Morgan India will be the issue's book-running lead managers, while MUFG Intime India will be the registrar.

Half of the offer will be reserved for qualified institutional buyers, 35% for retail individual investors and 15% for non-institutional investors.

The company's shares will be listed on the National Stock Exchange (NSE) and the BSE.
