New IPO Alert: SD International files draft papers with SEBI for public offer

Packaging solutions provider SD International Ltd has filed preliminary papers with the market regulator, the Securities and Exchange Board of India (SEBI), to raise funds through an initial public offering (IPO).

The proposed IPO comprises a fresh issue of 1,30,00,000 shares and an offer-for-sale of 35,00,000 shares by promoter Vinay Agarwal, according to the draft red herring prospectus (DRHP) filed on Monday.

The fresh issue proceeds will be used for debt clearance, funding capital expenditure needs towards the purchase of equipment and machinery and general corporate purposes.

"Our company expects that the listing of the equity shares will enhance our visibility and our brand image among our existing and potential clients and creation of a public market for our equity shares," the company said in its draft papers.

The company may consider a pre-IPO placement for up to 26,00,000 shares. If the pre-IPO placement is completed, the fresh issue size will be reduced.

About SD International

SD International manufactures semi-rigid and rigid food packaging products in India. Its products are used across various end-use segments, including dairy, sweets and confectionery, takeaway and food-service establishments, bakeries, branded food products and agro-based produce. Its customer base comprises business-to-business customers, corporates and distributors operating across various end-use sectors.

The company's product portfolio includes in-mould labelled containers, takeaway containers, tamper-evident containers, sipper glasses, polyethylene terephthalate hinged, PET sauce cups, leak-resistant containers, round and square containers, agro and punnet boxes, bakery packaging products, lids, meal boxes and polypropylene sealable containers.

As of the financial year 2025-26, it offered over 250 SKUs across multiple product categories. It had a diversified customer base of over 834, 802, and 553 customers in FY26, FY25 and FY24, respectively.

Valmiki Leela Capital is the sole book-running lead manager of the issue, while KFIN Technologies is the registrar.

Shares of the company will be listed on the National Stock Exchange (NSE) and BSE.
