In his official statement, N Chandrasekaran said that his resignation move comes after Tata Sons’ board did not provide unanimous support for the re-appointment proposal due to one board member’s opposition to the corporate action.

“In the absence of unanimous support, I chose to defer the decision,” said N Chandrasekaran in his letter to the board.

Originally, Dorabji Tata Trust and Ratan Tata Trust resolved and recommended the extension of N Chandra’s tenure for an upcoming period of five years. This move was also recorded by the Tata Sons Nomination and Remuneration Committee.

Later, when this resolution was tabled at Tata Sons’ board meeting on February 24, 2026, the proposal was not carried forward. Media reports suggested differences and tussle between Tata Sons and Tata Trusts over Chandrasekaran's reappointment.

Deferring the decision, N Chandrasekaran said that he will not seek re-appointment post the end of his term on February 20, 2027, urging the board that they choose a successor for the role soon.

Tata Trust, which is the holding company of the Tata Group, is majority-owned by Tata Trusts and controls more than 30 group companies, including Tata Consultancy Services, Tata Motors, Tata Chemicals and even unlisted giants like Air India.

Shares of the Tata Group companies listed on the NSE were trading sharply lower on Wednesday’s market after the Chairman’s resignation move.

TCS shares dropped as much as 5%, Tata Steel lost 1.7%, Tata Power lost 1.2%, Tata Motors PV lost 2.5%, and Tata Consumer Products lost 1.7%, were among other Tata Group stocks trading lower on August 12, according to NSE data.

Chandra vs Noel

Although N Chandra did not name the person who opposed the proposal, reports have suggested key differences between the veteran and Noel Tata, who took charge as the Chairman of Tata Trusts in 2024 after Ratan Tata’s demise.

Reports also suggested that Noel Tata reportedly sought greater clarity from Chandra on the group's five-year strategic roadmap, ways to provide an exit to the Shapoorji Pallonji Group without taking Tata Sons public, and his position on the long-debated listing of Tata Sons.

According to a PTI report, Noel Tata allegedly sought assurances that Tata Sons would not be publicly listed, a position N Chandrasekaran did not agree with, in turn causing disagreements which also involved questions of board representation.

Who is N. Chandrasekaran?

N. Chandrasekaran is the outgoing Chairman of Tata Sons, the holding and promoter company of all Tata Group firms, and joined the board of directors back in October 2016, as per the official website data.

As per the early life data, Chandrasekaran joined the Tata Group in 1987 and was appointed as a Director on the board of Tata Sons on October 25, 2016.

At Tata Sons, N. Chandra’s focus has been on the “One Tata” strategy based on themes of simplification, scale, and synergy.
