The acquisition, to be made through HCL Technologies Austria GmbH, a step-down wholly owned subsidiary of HCLTech, will involve 100% the outstanding equity of Robotiq.ai and will be entirely in cash.

The transaction is expected to be completed by the end of November 2026, HCLTech said in a regulatory filing.

Robotiq.ai, incorporated in Croatia in August 2018, provides enterprise-grade RPA capabilities to automate repetitive and manual processes across business applications. Its platform is used mainly by large banks, insurance groups and telecom providers.

The acquisition will add enterprise RPA capabilities to HCL UnO Agentic, HCLSoftware's agentic AI platform, allowing AI-driven workflows to automate tasks in applications where application programming interfaces (APIs) are unavailable or insufficient.

"This acquisition strengthens HCL UnO Agentic by combining orchestration with enterprise-grade execution, helping customers confidently deploy and scale agentic AI across their operations," HCLSoftware President Kalyan Kumar said.

Robotiq.ai reported revenue of 1.4 million euro in 2025, up from 0.9 million euro each in 2023 and 2024.

Its profit after tax stood at 0.2 million euro and net worth at 0.8 million euro as of December 31, 2025.

Robotiq.ai's RPA platform is built with ISO-certified security, audit logs and flexible deployment options, HCLSoftware said.

"We built Robotiq.ai on a simple belief -- automation should be useful, fast to deploy, and reliable in production. Joining HCLSoftware gives our technology the enterprise reach, scale, and platform. Together with HCLSoftware, customers get automation that doesn't stop at the task -- it becomes part of an orchestrated, governed process across the entire enterprise," Darko Jovisic, CEO and Co-founder, Robotiq.ai, said.

The acquisition comes amid growing enterprise demand for AI systems that can not only reason but also execute tasks across complex business environments, it said.
