Dabur gets NCLT nod to merge Sesa Care; Ayurvedic hair-care brand to join portfolio

Dabur India has received approval from the National Company Law Tribunal (NCLT) for the merger of Sesa Care with the company, paving the way for the integration of the Ayurvedic hair-care brand into its portfolio.

In a regulatory filing on Friday, Dabur said the NCLT, at a hearing held on September 24, sanctioned the Scheme of Amalgamation between Sesa Care and Dabur India under Sections 230 to 232 of the Companies Act, 2013.

The merger will take effect after completion of the required statutory filings and other formalities stipulated under the scheme, the company said.

In October 2024, Dabur acquired a majority stake in Sesa Care, and a full merger scheme for Sesa Care into Dabur was approved by its board in May 2025.

"The NCLT approval marks a key milestone in the transaction first announced in October 2024 and paves the way for the integration of Sesa Care with Dabur India, subject to completion of the necessary statutory filings and other formalities," it said.

As part of the deal, Dabur had initially acquired 51 per cent of the paid-up cumulative redeemable preference shares (CRPS) of Sesa Care from its existing shareholder True North.

Sesa Care operates in the Ayurvedic hair-care segment and owns the Sesa brand.

Dabur said the merger will add a premium Ayurvedic hair-care brand to its portfolio and strengthen its presence in the category.

"The NCLT approval is an important milestone in our journey with Sesa Care. Sesa Care is a premium brand with strong Ayurvedic credentials and complements our existing hair care portfolio well," Dabur India Global CEO Mohit Malhotra said.

The company expects to leverage its distribution network, category expertise and international market presence to expand Sesa Care's reach.

Dabur Executive Director and Group Head of Corporate Strategy Abhinav Dhall said the integration was aligned with the company's strategy of strengthening its portfolio and pursuing new growth opportunities.

The scheme had earlier received approvals from Dabur's equity shareholders and unsecured creditors at meetings convened pursuant to NCLT directions on May 2, 2026, followed by approvals from relevant regulatory authorities, the company said.
