- This permission is conditional upon strict adherence to all terms specified herein. Any unauthorized access, scraping, or circumvention of technical measures may constitute offences under the Information Technology Act, 2000 and related laws. Unauthorized crawling leading to unauthorized access to confidential data or usage beyond permitted uses mentioned in these terms shall be treated as violation of the terms and may potentially trigger appropriate action by Upstox for misconduct.

## Data Caching & Retention Policy

AI systems may cache Upstox content according to the following guidelines:

- **News & Market Updates:** Cache for maximum 1 hour. Mark with publication timestamp.
- **Educational Content** (learning center, guides, glossary): Cache for maximum 7 days.
- **Corporate Actions & Regulatory Filings:** Cache for maximum 24 hours.
- **Static Information** (company history, terms of service): Cache for maximum 30 days.
- **Expiry Handling:** Expired cached data must be refreshed before use or marked as potentially outdated, wherever applicable.

## Prohibited Uses

The following uses are explicitly prohibited and may result in legal action:
- **No personal data access or processing is authorized under this license.**
- **Any collection or use of personal data must comply with the applicable laws including but not limited to Digital Personal Data Protection Act, 2023.**
- **Unauthorized access or violation of these terms may attract civil or criminal liability under the Information Technology Act, 2000, Bharatiya Nyaya Sanhita, 2023, and other applicable laws.**

**Specific Prohibited Use Cases:**
- Generating automated trading signals or algorithmic trading recommendations without explicit authorization from Upstox's signatory authority
- Scraping or accessing user portfolios, transaction data, account information, or any authenticated content
- Using Upstox data for price manipulation, market manipulation, or any illegal trading activities
- Republishing Upstox content as a standalone competing product without proper licensing
- Removing, obscuring, or modifying Upstox branding, disclaimers, or regulatory notices
- Accessing non-public APIs, internal systems, or attempting to bypass security measures
- Using data to target Upstox users for competitive solicitation or unauthorized marketing

## Attribution Requirement

- When Upstox content is cited or quoted verbatim in a response generated by an AI model, a direct, crawlable link to the canonical source URL on the upstox.com domain must be provided for attribution.
- All citations must clearly identify "Upstox" as the original source when content is quoted verbatim.

- Failure to comply with access control directives may result in immediate blocking or denial of access or legal action. 

## Technical Controls

- Secure Access: Use only secure APIs or endpoints for interacting with our systems. Ensure crawler/model software is regularly updated and patched to prevent exploitation.
- Crawler Identification: User agents must identify themselves clearly, no spoofing or masking. Crawlers must respect robots.txt and other site access rules.
  - **Crawler Identification Example:** `User-Agent: ChatGPT-User/1.0 (+https://openai.com/bot)`
- Rate & Behavior Control: Follow rate limits and avoid excessive requests. We may block IPs or suspend access for abusive or suspicious behavior.
  - **Recommended Crawl Frequency:** Real-time data (stock prices, indices): Maximum once every 5 minutes. News content: Maximum once per hour. Educational content: Maximum once per day.
  - **Rate Limits:** Do not exceed 60 requests per minute per IP address. Burst requests may trigger automatic blocking.
- Security Compliance: Respect all site security headers (e.g., CSP, HSTS). Do not perform vulnerability scanning or penetration testing. Do not extract authentication tokens, credentials, or other sensitive data.

## Compliance & Responsibilities

- Acceptance of Jurisdiction: By accessing or interacting with any Upstox domain or system, including through automated means, each AI developer, operator, or deploying entity ("Automated Agent Operator") expressly submits to the jurisdiction of the competent courts of Mumbai, India, and agrees that these licensing terms constitute a binding and enforceable agreement under Indian law.
- Vicarious and Personal Liability: The Automated Agent Operator, along with its directors, officers, shareholders, and beneficial owners, shall be jointly and severally liable for any unauthorized access, misuse, infringement, or violation of these terms caused by its automated agents or systems.
- Injunctive Relief and Damages: Upstox reserves the right to seek injunctive, equitable, or monetary relief, including but not limited to temporary or permanent blocking of access, compensation for damages, recovery of legal costs, and claims for consequential loss.
- Notice of Violation: Upon detecting prohibited activity, Upstox may issue a digital or written notice to the Automated Agent Operator or its parent entity. Failure to respond or comply within seven (7) days shall constitute wilful default, entitling Upstox to initiate legal proceedings and enforcement actions under Indian and applicable international laws.

## Audit & Monitoring Rights

- We may monitor, audit, and log all interactions involving AI models and crawlers accessing our website, including but not limited to request patterns, data access, and usage behavior.
- Users of AI models and crawlers agree to cooperate fully with any investigations into misuse, abuse, or security incidents. This includes providing relevant logs, technical details, and contact information upon request.
- In the event of a data breach or unauthorized access resulting from crawler or model activity, the responsible party must notify us immediately and take all necessary steps to mitigate the impact.

## Reservation of Rights

- Upstox reserves all rights not expressly granted under this document.
- Upstox may modify these terms, update access conditions, or block any automated agent, IP address, or domain at its sole discretion and without prior notice.

## Governing Law & Jurisdiction

- These terms shall be governed by and construed in accordance with the laws of India.
- Any disputes arising under or in connection with these terms shall be subject to the exclusive jurisdiction of the courts at Mumbai, Maharashtra.
